Your Agreement in Plain English

The short version of your Independent Contractor Agreement. The section numbers point to the full wording. If anything here differs from the Agreement, the Agreement controls.

The relationship You're an independent contractor, not an employee, and you can't sign or commit on HHMWC's behalf. 1.2–1.3
Hours and outside work No minimum hours and no exclusivity. Tell us in writing if you start or join a similar business within 15 miles; that's notice, not approval. 1.4
Ending the agreement It runs month to month, and either of us can end it anytime with written notice. HHMWC can end it immediately for cause, such as a license problem or a breach that isn't fixed within 7 days. 2.1–2.3
After it ends Return all HHMWC property and records and delete any copies. Don't disparage HHMWC, and don't interfere with its clients or staff for 12 months. 2.4–2.7
Your clinical work You alone decide treatment, within your license. 3.1–3.2
Facility Blocks Your recurring time on the room schedule. Stay reachable for same-day bookings, and change or release a block with reasonable notice. Unbooked time isn't paid. 3.4–3.5, 3.8
Time away Give reasonable advance notice for a full day or more. It's notice, not a request for approval. 3.3
Doing the work yourself No substitutes, subcontracting, or room sharing for HHMWC clients. 3.9
Mangomint and client records Scheduling, payment, and notes for HHMWC clients all run through Mangomint. Client records belong to HHMWC; keep them confidential and never copy them. 3.6, 7
Attire Black scrubs are the brand standard; anything else must be comparable. 3.7
Pricing and discounts Clients pay the published prices. Discounts need approval, come out of HHMWC's share, and can't exceed $15. 4.1–4.5
Your rate Set per Massage Hour on your Rate Notice, and it goes up every July 1. 4.2, 4.6, 5.3
Payouts and tips Payouts arrive on the 10th and 25th, and tips are yours. A refund approved for a service-quality issue with your session comes out of your next payout. 5.4–5.6
Soliciting clients and staff Don't solicit HHMWC clients while you're here or for 12 months after, or recruit HHMWC staff for 12 months after you leave. Clients who contact you on their own, and your own personal contacts, are fine. 8, 10.2
Marketing All booking goes through HHMWC, and no marketing of your own (including business cards) for services here. Professional social media is encouraged. 9, Exhibit A
Cleanliness Strip, disinfect, and redress between every client, and help with laundry. Falling short of sanitation standards is a material breach. 11.2
Insurance $1M per claim / $2M aggregate liability coverage, with HHMWC as certificate holder. Send proof when you start and at every renewal. 12
Taxes and benefits You receive a 1099-NEC and handle your own taxes. No employee benefits. 14
Disputes Talk first, then mediation, then binding arbitration in Ingham County. 17
